Terms of Service

1. Agreement to terms

By accessing our website at zorya.co.za or engaging Zorya Studio (Pty) Ltd (Reg No: 2026/456886/07) for any services, you agree to be bound by these Terms of Service and all applicable South African laws. If you do not agree with any part of these terms, you may not use our services.

2. Services

Zorya Studio provides web development, brand identity design, UI/UX design, content creation, social media management and motion and video production services. The specific scope of work, deliverables, timeline and pricing for each engagement will be agreed upon in a written proposal or service agreement prior to commencement.

3. Pricing and payment

All prices are quoted in South African Rand (ZAR) and exclude VAT unless otherwise stated. Payment terms are as follows:

• ✦A non-refundable deposit of 50% of the total project fee is required before work commences
• ✦The remaining balance is due upon project completion and prior to final file delivery
• ✦Retainer agreements are billed monthly in advance
• ✦Invoices are payable within 30 days of issue
• ✦Late payments attract interest at 2% per month on the outstanding balance

4. Intellectual property

All work created by Zorya Studio remains the intellectual property of Zorya Studio (Pty) Ltd until full payment has been received. Upon receipt of final payment, ownership of the agreed deliverables transfers to the client. Zorya Studio reserves the right to display completed work in our portfolio unless the client requests otherwise in writing. Third-party assets (stock photography, licensed fonts, etc.) remain subject to their respective licence agreements.

5. Client responsibilities

The client agrees to:

• ✦Provide all necessary content, assets, and feedback within agreed timelines
• ✦Ensure all materials supplied are owned by the client or properly licensed
• ✦Appoint a single point of contact for approvals and feedback
• ✦Review and approve deliverables within 5 business days of submission

Delays caused by the client may result in timeline adjustments and additional costs, which will be communicated in advance.

6. Revisions and scope

Each project proposal includes a defined number of revision rounds. Additional revisions beyond the agreed scope will be billed at our standard hourly rate, communicated to the client in advance. Significant changes to the project scope after work has commenced may require a revised proposal and additional fees.

7. Cancellation

If a client cancels a project after work has commenced, the deposit is non-refundable. If work beyond the deposit value has been completed at the time of cancellation, the client will be invoiced for the value of work completed, up to the total project fee. Retainer agreements require 30 days' written notice to cancel.

8. Limitation of liability

Zorya Studio's total liability for any claim arising from our services is limited to the total fees paid by the client for the specific project giving rise to the claim. We are not liable for any indirect, incidental or consequential damages, including loss of profit or business interruption.

9. Governing law

These Terms of Service are governed by the laws of the Republic of South Africa. Any disputes will be subject to the exclusive jurisdiction of the courts of Gauteng, South Africa.
